The agreement behind your account

These Terms of Service (these "Terms") govern your access to and use of the Placed Today mobile application (the "App"), the website located at https://placed.today/ (the "Website"), and all related features and services (collectively, the "Services"), provided by PlacedToday, Inc., a Delaware corporation doing business as "Placed Today" ("Placed Today," "we," "us," or "our").

Placed Today is an AI-powered career and job-search platform designed to help users identify relevant job opportunities, evaluate skill gaps, improve resumes and professional profiles, develop learning plans, prepare for interviews, identify hiring managers, conduct professional networking and outreach, connect professional accounts, manage career-related communications, and receive AI-generated career guidance and learning resources.

By creating an account, downloading the App, or otherwise accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, available at https://placed.today/privacy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you may not access or use the Services.

The Services are intended for adult users. You must be at least 18 years old, and have the legal capacity to enter into a binding agreement, to create an account or otherwise use the Services. By using the Services, you represent and warrant that you meet these requirements.

The Services are currently offered in the United States, Canada, the United Kingdom, Germany, Australia, and New Zealand. You represent that you are accessing the Services from one of these markets.

Eligibility under this Section is based on your representation at the time you create an Account. We do not currently verify age through independent technical means beyond that representation, except where required by applicable law or the policies of the Apple App Store.

To access most features of the Services, you must create an account (an "Account"). You may register using Sign in with Apple, Google, or LinkedIn. You agree to provide accurate and current information when creating your Account and to keep that information up to date.

You are responsible for all activity that occurs under your Account. You must notify us promptly at support@placed.today if you become aware of any unauthorized access to or use of your Account.

The Services include, among other features made available to you from time to time: a career profile builder; AI-generated career guidance and recommendations; job suggestions; skill-gap identification; resume and profile assistance; interview preparation; professional networking assistance, including identification of hiring managers; email and calendar connectivity; and curated learning resources.

Placed Today is a productivity and career-support tool. Placed Today is not an employment agency, staffing agency, or recruiting firm, and does not itself employ, place, or make hiring decisions regarding any user.

Placed Today does not guarantee that you will obtain an interview, job offer, employment, promotion, salary outcome, or any other career result. Employers, recruiters, and other third parties make their own independent hiring and employment decisions, over which Placed Today has no control and for which Placed Today assumes no responsibility.

The Services, including all AI-generated content, are provided for general informational and productivity purposes and do not constitute legal, financial, immigration, or professional employment advice. You should consult a qualified professional before making significant career, legal, financial, or immigration-related decisions.

The Services incorporate artificial intelligence technologies, including large language models and other systems provided by or accessed through our technology partners, to analyze your professional information and generate personalized career content, suggestions, and recommendations ("AI Outputs"). AI Outputs are generated automatically and are not, as a general matter, reviewed by a human before being made available to you.

AI Outputs may be inaccurate, incomplete, outdated, or unsuitable for your particular circumstances. You are solely responsible for reviewing, verifying, and, where applicable, editing any AI Output, including any drafted communication, before relying on it or sending it to a third party. AI Outputs do not constitute professional, legal, financial, or employment advice.

You agree to use the Services only for their intended purpose of supporting your own lawful job search and professional development, to provide accurate information, and to comply with these Terms and all applicable laws.

In connection with your use of the Services, you agree not to:

• Harass, threaten, defraud, or impersonate any person, including any hiring manager or other individual identified through the Services;
• Provide false, misleading, or another person's identifying or professional information;
• Send unsolicited bulk communications or otherwise misuse the communication or networking features of the Services;
• Attempt to gain unauthorized access to the Services, other users' accounts, or our systems;
• Use automated means to access the Services other than through the features we provide;
• Reverse engineer, decompile, or attempt to extract the source code of the App, except as permitted by applicable law;
• Use the Services in a manner that violates the terms of service of any connected third-party platform, including LinkedIn, Google, or Apple;
• Upload malicious code or content that infringes the rights of any third party; or
• Use the Services for any unlawful purpose.

"User Content" means information and materials you submit to the Services, including your professional profile information, resume, messages, and feedback. You retain ownership of your User Content. You represent that you have all rights necessary to submit your User Content and that doing so does not infringe or violate the rights of any third party.

You may upload a resume to the Services. Placed Today currently supports resumes in PDF format, with support for additional file formats under active development. Uploaded resumes are processed using artificial intelligence, as described in our Privacy Policy, to build and enhance your career profile, and are retained to support the Services in accordance with our data retention practices described in our Privacy Policy.

The Services integrate with and rely on a number of third-party platforms and service providers to deliver certain features, including identity and AI providers, professional-networking and job-data providers, and connectivity infrastructure, as further described in our Privacy Policy. Your use of any connected third-party service remains subject to that third party's own terms, and Placed Today is not responsible for the acts, omissions, or availability of third-party services.

If you choose to connect your email inbox, calendar, or LinkedIn account, the Services can help you view relevant information, draft communications using AI assistance, identify hiring managers, and, only after your review and confirmation, send emails or LinkedIn connection requests and messages, and create or modify calendar events on your behalf (for example, to reflect an interview identified in your inbox).

You may disconnect any connected account at any time through the App's settings. Placed Today is not affiliated with, endorsed by, or sponsored by Google, LinkedIn, or Apple, and your use of these connected features remains subject to the applicable third party's own terms.

You agree to use connected-account features responsibly and lawfully, and not to use them to send unsolicited, harassing, or automated bulk outreach that would violate a connected platform's policies or applicable law.

Job-posting information displayed within the Services is retrieved from third-party data sources and stored internally to improve the speed and relevance of the job suggestions shown to you. We do not control, and do not guarantee, the accuracy, completeness, or continued availability of any third-party job listing, and its appearance within the Services does not imply our endorsement of the employer. As of the date of these Terms, Placed Today suggests jobs based on your profile and preferences and does not automatically submit applications on your behalf.

The Services may surface educational content and learning recommendations, including free content sourced from third-party platforms such as YouTube, to help you address identified skill gaps. Placed Today does not own or license this third-party content and does not control its accuracy or continued availability. Third-party learning content remains subject to the terms of the platform on which it is hosted.

By default, the Services operate on a suggestive, draft-first basis: the App may prepare draft emails and LinkedIn communications, but will not send them to a third party without your review and affirmative confirmation. You are solely responsible for the content of any communication sent using your Account, and for reviewing any AI-assisted draft before authorizing it to be sent.

Certain features of the Services require a paid subscription ("Subscription"). The applicable price, billing frequency, and currency for your Subscription will be clearly displayed within the App before you complete your purchase. Placed Today does not currently offer a free trial or free plan.

Your Subscription automatically renews at the end of each billing period at the then-current price unless cancelled before the renewal date. We will provide any advance notice of price changes required by applicable law.

Subscriptions are purchased and billed through Apple's In-App Purchase system. Payment is processed by Apple in accordance with Apple's Media Services Terms and Conditions, and Placed Today does not directly collect or process your payment card information in connection with your Subscription.

The following additional terms apply to your use of the App as downloaded from the Apple App Store, and take precedence over any conflicting provision of these Terms as to the matters addressed: (a) these Terms are between you and Placed Today only, and not with Apple Inc. ("Apple"), and Apple is not responsible for the Services or their content; (b) Apple has no obligation to furnish any maintenance or support services for the Services; (c) in the event of any failure of the Services to conform to any applicable warranty, you may notify Apple, and Apple will refund the applicable purchase price for the App, to the extent required, and, to the maximum extent permitted by law, Apple will have no other warranty obligation with respect to the Services; (d) Apple is not responsible for addressing any claims by you or a third party relating to the Services, including product-liability claims, claims that the Services fail to conform to applicable legal or regulatory requirements, and claims arising under consumer-protection legislation; (e) in the event of a third-party claim that the Services infringe a third party's intellectual property rights, Placed Today, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim; (f) you represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist-supporting" country, and are not on any applicable U.S. Government list of prohibited or restricted parties; and (g) Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your license to use the App, and Apple has the right to enforce these Terms against you as a third-party beneficiary.

You may cancel your Subscription at any time through your Apple ID account settings, in accordance with Apple's instructions. Placed Today does not process cancellations directly, as Subscriptions are managed through Apple. Following cancellation, you will continue to have access to paid features through the end of your then-current billing period.

Refunds for Subscriptions are handled exclusively by Apple in accordance with Apple's applicable refund policies. Placed Today does not independently issue refunds and has no ability to override Apple's refund determinations. Nothing in these Terms limits any non-waivable statutory refund or cancellation right available to consumers under applicable law in your jurisdiction.

The Services, including the App, the Website, our branding, trademarks, user interface, underlying software, proprietary algorithms, and internal recommendation systems (collectively, "Placed Today IP"), are owned by Placed Today or our licensors and are protected by applicable intellectual property laws. Except for the limited right to use the Services in accordance with these Terms, no right, title, or interest in the Placed Today IP is transferred to you.

You grant Placed Today a limited, non-exclusive, worldwide, royalty-free license to host, store, process, analyze, and display your User Content solely as necessary to provide, maintain, secure, and improve the Services for you, including through our third-party service providers described in our Privacy Policy. This license does not grant Placed Today the right to sell your professional materials, use your profile for advertising to other users, or publicly display your User Content, except as necessary to operate features you have affirmatively enabled. This license terminates when your User Content is deleted from our systems, subject to the retention practices described in our Privacy Policy.

If you provide feedback, suggestions, or ideas regarding the Services, you grant Placed Today a perpetual, irrevocable, royalty-free license to use that feedback to improve the Services, without any obligation to compensate you.

Our collection, use, and disclosure of personal information is described in our Privacy Policy, available at https://placed.today/privacy, which is incorporated into these Terms by reference.

THE SERVICES, INCLUDING ALL AI OUTPUTS, JOB SUGGESTIONS, AND THIRD-PARTY CONTENT, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY AI OUTPUT OR JOB SUGGESTION WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES. NOTHING IN THIS SECTION LIMITS ANY WARRANTY OR CONSUMER-PROTECTION RIGHT THAT CANNOT LAWFULLY BE EXCLUDED IN YOUR JURISDICTION.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLACED TODAY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, EMPLOYMENT OPPORTUNITY, OR DATA, ARISING FROM YOUR USE OF THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PLACED TODAY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PLACED TODAY FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING FOR DEATH, PERSONAL INJURY, FRAUD, OR WILLFUL MISCONDUCT; CLAIMS FOR INTELLECTUAL-PROPERTY INFRINGEMENT; OBLIGATIONS ARISING UNDER APPLICABLE DATA-PROTECTION OR PRIVACY LAW; OR AS OTHERWISE PROHIBITED BY APPLICABLE CONSUMER-PROTECTION LAW.

You agree to indemnify, defend, and hold harmless Placed Today and its officers, directors, employees, and service providers from and against any claims, damages, liabilities, and reasonable expenses (including attorneys' fees) arising from: (a) your violation of these Terms; (b) your User Content; (c) any communication you send or authorize through the Services; or (d) your violation of applicable law or the rights of a third party.

We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms, engaged in conduct prohibited under Section 9, or if suspension or termination is necessary to protect the security or integrity of the Services or the rights of other users or third parties.

Upon termination, your right to use the Services ends immediately. Sections 10, 21-27, and 29-36 survive termination.

You may delete your Account at any time using the in-app account-deletion feature. Deleting your Account will disconnect any connected third-party accounts, but does not affect your separate account with those third-party providers, and does not automatically cancel an active Subscription; you must separately cancel your Subscription through your Apple ID settings as described in Section 19. Information retained following account deletion is described in our Privacy Policy.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles, except that, for users located outside the United States, nothing in these Terms deprives you of the protection of any mandatory consumer-protection provisions of the law of your country or state of residence that cannot be excluded by agreement.

If you have a concern or dispute, you agree to first contact us at support@placed.today so that we may attempt to resolve it informally.

For users located in the United States, to the fullest extent permitted by applicable law, any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally will be resolved by binding individual arbitration under the Federal Arbitration Act, conducted by a nationally recognized independent arbitration organization pursuant to its then-current rules for consumer or commercial disputes, as applicable, rather than in court, except that either party may bring an individual claim in small claims court where eligible. You may opt out of this arbitration agreement by notifying us in writing at support@placed.today within thirty (30) days of first accepting these Terms.

This Section does not apply, and the dispute-resolution mechanisms otherwise available under applicable local law will instead apply, to the extent this Section would be unenforceable under the law of a user's jurisdiction outside the United States, including mandatory consumer-protection laws of the European Union, the United Kingdom, Australia, New Zealand, or Canada.

For users located in the United States, to the fullest extent permitted by applicable law, you and Placed Today each waive any right to a jury trial and to participate in a class, collective, or representative action against the other, and agree that any arbitration or proceeding will be conducted only on an individual basis.

We may modify these Terms from time to time. If we make material changes, we will provide notice through the App, by email, or by another reasonable method before the changes take effect. Your continued use of the Services after the effective date of any change constitutes your acceptance of the updated Terms.

By using the Services, you consent to receive communications from us electronically, including by email and through in-app notifications. You agree that any notice, agreement, disclosure, or other communication we send you electronically satisfies any legal requirement that such communication be in writing.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Placed Today regarding the Services. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be so modified, and the remaining provisions will remain in full force and effect. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. Placed Today is not liable for any delay or failure to perform resulting from causes outside our reasonable control.
